By accessing or using the ALYRT platform (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Service.
1 · Acceptance of Terms
By accessing or using the ALYRT platform (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you and ALYRT Limited, a company incorporated in New Zealand ("ALYRT," "we," "us," or "our").
If you are using the Service on behalf of a business or entity:
- You represent that you have the authority to bind that entity to these Terms.
- References to "you" include both you individually and the entity you represent.
2 · Service Description
2.1 What ALYRT Is
ALYRT is an AI-powered financial monitoring and intelligence software platform that:
- Aggregates financial data from multiple sources (accounting systems, bank feeds, public registers)
- Generates automated alerts based on data patterns and predefined thresholds
- Provides predictive cash flow forecasting tools
- Monitors potential compliance risks across key New Zealand legislation
- Offers scenario modelling and planning tools
- Provides access to a directory of independent professional advisors
2.2 What ALYRT Is NOT
ALYRT is NOT and does NOT provide:
- Financial advice, financial planning services, or investment recommendations
- Legal advice, legal opinions, or legal representation
- Accounting services or professional accounting advice
- Insolvency advice or formal insolvency opinions
- Tax advice, tax planning, or tax preparation services
- Business consulting or strategic advisory services
- Any form of professional advice regulated under New Zealand law
ALYRT is a decision-support tool only. All alerts, forecasts, suggestions, and information are provided for informational and educational purposes only.
3 · No Professional Relationship
3.1 No Advisor-Client Relationship
Your use of ALYRT does not create, and shall not be construed to create:
- An accountant-client relationship
- A lawyer-client relationship
- A financial advisor-client relationship
- Any other professional advisory relationship
ALYRT is a software service provider only. We are not your accountant, lawyer, financial advisor, insolvency practitioner, or business consultant.
4 · AI-Generated Outputs and Limitations
4.1 Artificial Intelligence Technology
ALYRT uses artificial intelligence, machine learning algorithms, and automated data analysis to generate alerts, forecasts, and insights.
AI systems have inherent limitations and can:
- Make errors in data interpretation or analysis
- Produce false positive alerts (flagging risks that don't exist)
- Produce false negative results (missing actual risks)
- Misinterpret unusual business situations or exceptional circumstances
- Fail to account for context-specific factors unique to your business
- Generate outputs based on incomplete or inaccurate input data
4.2 No Guarantees of Accuracy
We make no representations, warranties, or guarantees regarding:
- The accuracy, completeness, or reliability of AI-generated outputs
- The accuracy of cash flow forecasts or financial projections
- The identification of all potential risks or compliance issues
- The suitability of any suggested actions or options
All AI-generated outputs must be:
- Verified by qualified professionals before relying on them
- Reviewed in the context of your specific business circumstances
- Treated as one input among many in your decision-making process
5 · Limitation of Liability
To the fullest extent permitted by New Zealand law, ALYRT and its directors, officers, employees, contractors, and agents shall not be liable for:
- Any business decisions you make based on platform outputs
- Any losses, damages, or consequences arising from your reliance on alerts or forecasts
- Any breaches of director duties, statutory obligations, or legal requirements
- Any regulatory penalties, fines, prosecutions, or director disqualifications
- Any missed risks, undetected compliance issues, or false negative alerts
- Any false positive alerts or unnecessary concerns raised
- Any errors, inaccuracies, or omissions in AI-generated outputs
- Any losses arising from system downtime, bugs, or technical issues
To the extent liability cannot be excluded by law, our maximum aggregate liability to you for all claims arising from your use of the Service shall be limited to the lesser of the total fees you paid to ALYRT in the 12 months immediately preceding the claim, or NZD $1,000.

- You are solely responsible for your business decisions
- You accept the limitations of liability and disclaimers contained herein
